1. Acceptance of Terms
By accessing or using TaxVault (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and DASTech, LLC, doing business as TaxVault ("we," "us," or "our"), governing your use of our tax automation platform and related services.
2. Description of Service
TaxVault is a tax automation platform that helps freelancers and small businesses:
- Connect to accounting software (QuickBooks, FreshBooks, Xero) and bank accounts
- Automatically import income and expense transactions
- Calculate quarterly and annual federal and state tax obligations
- Generate IRS tax forms (Form 1040-ES, Schedule C, 1099-NEC)
- Track contractor payments and generate year-end tax documents
- Receive tax deadline reminders and notifications
Important: TaxVault provides tax calculation tools and form generation services. We are not a licensed tax preparer, CPA firm, or legal advisor. Our Service does not constitute tax advice. You should consult with a qualified tax professional for tax advice specific to your situation.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
- Be at least 18 years of age
4. Subscription and Payment
4.1 Subscription Plans
TaxVault offers various subscription plans with different features and pricing. Current plan details are available on our pricing page. We reserve the right to modify pricing with 30 days notice to existing subscribers.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of your paid period.
5. Third-Party Integrations
The Service integrates with third-party platforms including QuickBooks (Intuit), FreshBooks, Xero, and financial data providers. By connecting these services, you:
- Authorize TaxVault to access your data from these services
- Agree to comply with the terms of service of each connected platform
- Acknowledge that TaxVault is not responsible for the availability or accuracy of third-party services
- Understand you can disconnect integrations at any time
TaxVault is an independent service and is not affiliated with, sponsored by, or endorsed by Intuit, FreshBooks, Xero, or other third-party platforms.
6. User Responsibilities
You are responsible for:
- The accuracy and completeness of data you provide or import
- Reviewing all tax calculations and forms before filing
- Filing tax returns and making tax payments on time
- Maintaining records as required by tax authorities
- Complying with all applicable tax laws and regulations
- Verifying calculations with a qualified tax professional if needed
7. Prohibited Uses
You agree not to:
- Use the Service for any illegal purpose or to violate any laws
- Submit false, misleading, or fraudulent information
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to transmit malware or harmful code
- Share your account credentials with others
- Use the Service to engage in tax evasion or fraud
8. Intellectual Property
The Service, including all content, features, and functionality, is owned by DASTech, LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
You retain ownership of your data. By using the Service, you grant TaxVault a limited license to use your data solely to provide the Service to you.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Tax calculations are based on the information you provide and current tax laws. We do not guarantee the accuracy of calculations or that they will meet your specific needs.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DASTECH, LLC AND TAXVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
We are not liable for any penalties, interest, or other consequences resulting from your tax filings, late payments, or decisions made based on information from the Service.
11. Indemnification
You agree to indemnify, defend, and hold harmless DASTech, LLC, TaxVault, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any rights of a third party.
12. Termination
We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Extended periods of inactivity
- Discontinuation of the Service
Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DASTech, LLC regarding the Service and supersede all prior agreements and understandings.
